Terms of Service
Effective Date: May 12, 2026
Acceptance of Terms
These Terms of Service govern your access to and use of Offboard, a service operated by Offboard, Inc. ("Offboard," "we," "our," or "us"). By accessing or using Offboard, you agree to these Terms. If you do not agree, do not use the service.
Description of the Service
Offboard is a multi-surface career-transition platform. Depending on your role, plan, subscription, sponsorship, or account approval status, the service may include:
- consumer job-search planning, tracking, and execution tools
- resume, document, and personal-brand workflows
- AI-assisted features such as LUMO chat and Application Packet, drafting, document analysis, research, automation, and AI-generated headshots
- interview preparation, including text and voice-based practice, and AI therapy voice sessions
- financial-runway planning and a layoff checklist with state-specific guidance
- community, networking, messaging, and other user-to-user features
- consumer subscriptions, recruiter subscriptions, and employer-sponsored access
- employer admin tools for sponsoring, launching, and managing employee access
- recruiter products, including candidate search, unlocks, and recruiter account workflows
- optional integrations such as Google Calendar, Google Drive, and Gmail
Accounts and Security
You may access Offboard through email-password sign-in or supported third-party authentication providers such as Google or Apple. You are responsible for maintaining the confidentiality of your account and for activity that occurs under it.
- Provide accurate information and keep it reasonably up to date.
- Use only accounts and identities you are authorized to use.
- Promptly notify us if you believe your account has been compromised.
- Understand that some product areas are role-based and may require approval, sponsorship, or a paid plan.
Paid Services, Billing, and Sponsored Access
Certain features require payment, an active subscription, recruiter credits or allowances, or employer sponsorship. Consumer subscriptions, recruiter subscriptions, and employer-sponsored seat purchases are processed through Stripe or a Stripe-backed billing workflow.
- Fees, billing cadence, and feature entitlements are described at the point of purchase or inside the relevant product area.
- Subscriptions and sponsored access may be renewed, changed, paused, expired, or canceled based on plan terms, payment status, or workspace rules.
- The 3-month and 6-month Pro plans renew at the end of each period. We email you 7 days before each of these renewals. Monthly plans renew every month without a reminder email.
- Your Pro price stays the same for as long as your subscription stays active. If you cancel and subscribe again later, you pay the price for new members at that time.
- Employer purchases are for sponsored seats and program administration, not a guarantee that any employee will claim or continue using the service.
- Recruiter products may include subscription tiers, unlock allowances, credits, or other usage-based limits.
Employer-Sponsored Access
If your access is sponsored by an employer, your use of Offboard may be linked to an employer workspace. Employers may manage sponsorship status, invite timing, team administration, billing, and other workspace-level settings.
- Sponsored access may start, expire, pause, or be modified based on the employer program.
- Invite, join, and claim workflows may be tied to a specific email address.
- Employer visibility is limited by the product's privacy model and does not include private resumes, applications, or personal job-search materials through the employer dashboard.
Recruiter Products and Candidate Access
Recruiter features are intended for legitimate recruiting and hiring workflows. Recruiter accounts may require application, approval, subscription, or unlock usage before certain candidate data becomes visible.
- Candidate data obtained through recruiter features may only be used for lawful recruiting purposes.
- You may not resell, bulk-extract, or repurpose recruiter-accessed candidate data outside the authorized workflow.
- Candidate visibility, anonymity, and unlock mechanics may vary by feature, consent state, and account state.
Community, Messaging, and User Content
You retain ownership of content you upload or create in Offboard, including documents, notes, journal entries, posts, messages, and profile content. You grant Offboard a limited, non-exclusive license to host, process, store, display, transmit, and transform that content as needed to operate the service for you.
- Community posts, replies, connections, and messages may be visible to other users as part of the feature design.
- Anonymous posting may hide your public identity from other users, but not from Offboard internally.
- You are responsible for the content you upload, publish, or send through the service.
Acceptable Use
You agree not to use Offboard to:
- violate any applicable law or regulation
- impersonate another person or misrepresent your identity, affiliation, or authorization
- upload malicious code, interfere with system integrity, or attempt unauthorized access
- scrape, crawl, or use automated means to access the service except as we expressly allow
- upload content you do not have the right to use, including another person's documents, photos, or personal information without authorization
- use AI outputs, recruiter tools, employer tools, or community features to deceive, harass, discriminate, or commit fraud
- misuse candidate, employee, sponsored-access, or recruiter data outside the permitted workflow
- share abusive, unsafe, unlawful, or misleading content through the service
AI and Automated Features Disclaimer
Offboard includes AI-assisted and automated features, including LUMO, drafting and analysis tools, research workflows, document processing, image generation, and voice features. By using these features, you understand and agree that:
- AI outputs are provided for informational and productivity purposes only.
- Offboard does not provide legal, financial, medical, mental health, or employment-placement advice.
- You remain responsible for reviewing, editing, and deciding whether to rely on or submit any AI-generated output.
- Generated content may be inaccurate, incomplete, biased, stale, or unsuitable for your specific situation.
- Voice, image, document-processing, and research features may use third-party providers and may not perform perfectly.
Third-Party Services and Integrations
Offboard works with third-party services such as authentication providers, payment processors, cloud infrastructure providers, email providers, AI providers, voice providers, and optional integrations like Google Calendar, Google Drive, and Gmail. The Gmail integration is read-only and used only to detect job-search signals in your inbox and sent mail; Offboard's use of data received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Your use of those third-party services may also be governed by their own terms and policies.
Intellectual Property
Your content
You retain ownership of the content you submit to Offboard, subject to the limited rights you grant us to run the service.
Our service
Offboard, including its software, branding, design, content arrangement, and underlying service features, is owned by Offboard, Inc. or its licensors and protected by intellectual property law.
Suspension and Termination
You may stop using the service at any time. Consumer accounts may be deleted through the product where that flow is available. We may suspend or terminate access if you violate these Terms, misuse the service, create legal or security risk, fail to pay required fees, or if a sponsored or role-based entitlement ends.
Termination does not automatically eliminate obligations that by their nature should survive, including payment obligations, usage restrictions, liability limitations, and dispute terms.
Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFBOARD IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR RESULT IN ANY PARTICULAR OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFBOARD, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST BUSINESS, OR LOSS OF GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
Governing Law and Binding Arbitration
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Except for claims that qualify for small claims court and claims seeking injunctive or equitable relief for misuse of the service or infringement of intellectual property rights, disputes arising out of or relating to these Terms or the service will be resolved by final and binding arbitration on an individual basis.
You and Offboard, Inc. each waive any right to participate in a class action, class arbitration, or representative proceeding, to the maximum extent permitted by law.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may update the effective date above and take additional steps to notify users when appropriate. Your continued use of the service after an update becomes effective means you accept the revised Terms.
